Thank you for choosing FlexTherm. These Terms govern quotations, samples, purchase orders, custom development, manufacturing, and related services supplied by FlexTherm to business customers worldwide.
By issuing a purchase order, paying a deposit, approving a sample, or otherwise engaging our services, you agree to these Terms unless a signed written agreement states otherwise.
Acceptance of Terms
These Terms form a binding agreement between FlexTherm (“FlexTherm,” “we,” “us”) and the company or individual purchasing our products or services (“Customer,” “you”). The person placing an order represents that they have authority to bind the Customer.
A quotation, pro forma invoice, approved specification sheet, purchase order accepted by FlexTherm, and these Terms together form the complete commercial agreement for an order.
Products & Services
FlexTherm develops and manufactures carbon nanotube flexible heating products on an OEM and ODM basis, including heated eye masks, flexible heating pads, heated blankets, therapeutic heating products, wearable heating products, and intelligent temperature-controlled systems.

Quotations & Orders
Quotations remain valid for the period shown and are based on stated specifications, quantities, Incoterms, and delivery assumptions. Prices may change if requirements, material costs, exchange rates, regulatory needs, or quantities change.
An order becomes binding only after FlexTherm confirms it in writing and receives the required deposit. Forecasts and verbal discussions are non-binding unless incorporated into an accepted purchase order.
Custom Development
Custom projects may require engineering fees, tooling fees, sample fees, or minimum order quantities. Development schedules begin only after receipt of all required technical information, reference samples, artwork, and payment.
Changes requested after approval may affect pricing, tooling, compliance testing, and delivery dates. FlexTherm will communicate material impacts before proceeding.
Pricing & Payment
Payment terms are stated in the applicable quotation or invoice. Unless otherwise agreed, deposits are non-refundable once engineering, material procurement, tooling, or production has begun. Bank charges, taxes, customs duties, and import fees are the Customer’s responsibility.
Late payment may suspend work and delivery. FlexTherm retains title to products until all amounts due for the order are paid in full, to the extent permitted by applicable law.
Production & Delivery
Lead times are estimates and begin after order confirmation, deposit, and final approval. Delivery dates may be adjusted for approved changes, delayed Customer input, supply disruption, carrier delay, force majeure, or compliance requirements.
Risk of loss transfers according to the agreed Incoterm. The Customer must inspect shipment quantities and visible packaging condition promptly and notify FlexTherm of any discrepancy within seven calendar days after delivery.
Quality & Inspection
Products are manufactured against the mutually approved specification, control sample, and agreed inspection standard. Reasonable manufacturing tolerances apply. Cosmetic variations that do not affect function and remain within agreed criteria are not defects.
Where third-party inspection is requested, the scope, method, acceptance quality limit, and cost must be agreed before production. A passed pre-shipment inspection does not expand the warranty.
Intellectual Property
Each party retains ownership of intellectual property created or owned before the project. Customer-provided trademarks, artwork, product designs, and confidential specifications remain the Customer’s property.
Unless expressly assigned in a signed agreement, FlexTherm retains its background technology, manufacturing processes, know-how, heating film architecture, control methods, generic tooling concepts, and improvements of general application.
Warranty & Liability
FlexTherm warrants that products will materially conform to the approved specification at delivery and will be free from manufacturing defects during the warranty period stated in the quotation. Remedies are limited, at FlexTherm’s option, to repair, replacement, credit, or refund for verified defective units.
The warranty does not cover misuse, unauthorized modification, improper storage, normal wear, integration outside approved conditions, accident, or failure to follow instructions. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss.
Confidentiality
Each party will protect non-public technical, commercial, and business information received from the other party, use it only for the project, and disclose it only to personnel or contractors who need to know and are subject to equivalent obligations.
Compliance & Intended Market
The Customer is responsible for identifying the destination market, intended use, labeling, claims, and required certifications before development begins. FlexTherm will support agreed testing and documentation, but no certification or market authorization is implied unless specifically listed in writing.
The Customer may not use products for prohibited, unlawful, or undisclosed high-risk applications. Medical or therapeutic claims require appropriate regulatory review by the party placing the final product on the market.
Cancellation & Termination
An accepted order may be cancelled only with FlexTherm’s written consent. The Customer remains responsible for completed work, committed materials, tooling, non-cancellable supplier costs, and reasonable close-out expenses.
Governing Law & Contact
The governing law and dispute forum stated in the accepted quotation or supply agreement apply. If those documents are silent, the parties will first attempt in good faith to resolve any dispute through commercial negotiation.
